Oct. 13, 2004

Sheffield Steel Corp. recently completed successfully its consent solicitation with respect to certain amendments to the Indenture for its 11-3/8% Senior Secured Notes due 2011 (CUSIP 821266AH6).

Holders of the 11-3/8% Senior Secured Notes approved the amendments to the Indenture. The amendments revised the ‘change of control’ definition of the Indenture. The parties executed the First Supplemental Indenture to effectuate the amendments on October 8, 2004.

The company’s headquarters and largest manufacturing facility is located in Sand Springs, Okla., where it has an annual billet making capacity of 600,000 tons. It also has a rolling mill in Joliet, Ill., two fabrication shops in the Kansas City area, and a railroad spike producer in Sand Springs, Okla. Sheffield also owns the Sand Springs Railway, which connects the Sand Springs industrial corridor to Tulsa, Okla.
